1. General Provisions

1.1 DanDong Digital Trade Port B2B provides legally competent individuals (hereinafter referred to as "Users") with the ability to utilize website functionalities, mobile applications, and other information technologies (collectively referred to as "Services") in accordance with the terms of the DanDong Digital Trade Port B2B User Agreement (hereinafter referred to as "Agreement").

1.2 This Agreement applies to the use of any Service at any time, regardless of whether a direct link to the Agreement is included in the user documentation of the relevant Service, including instances where the link is placed within the Service's interface.

1.3 This Agreement constitutes an integral part of the User Documentation for the Services, specifically for the purpose of providing functionality for each Service. However, it may be adopted even in the absence of corresponding User Documentation. In case of any conflict, the provisions of this Agreement shall take precedence over those in the User Documentation.

1.4 By using any of the Services, its individual features, including registering on the Services, confirming familiarity with the Service's user documents, and accepting them, the User shall be deemed to have fully accepted the Agreement.

1.5 This Agreement defines the rights and obligations of DanDong Digital Trade Port B2B and the User regarding the use of the Services, restrictions on using the Services or their individual features, and other terms of service provision.

1.6 In the user documents and/or Service interface, a specific company on the DanDong digital trade platform's B2B side is designated as the party entering into legal relations with the User regarding the provision of the Service, and thus constitutes the Contracting Party in this case.

1.7 The Agreement may be amended by modifying its text without requiring additional notice to the User. The revised version shall take effect immediately upon publication, unless otherwise specified in the corresponding version of the Agreement.

1.8 If the User disagrees with the Agreement or the User Documents of the Service, the User shall not use the Service or any of its individual features.

2. Registration and Authorization

2.1 If the Service requires registration (including account creation, personal account setup, etc.), users may complete registration and subsequent login either through the website or mobile app features of the DanDong Digital Trade Port B2B Trading Platform, or alternatively without using these functionalities.

2.2 When registering through the DanDong Digital Trade Port B2B platform, users must also accept the platform's terms and conditions published at the following website: https://www.overseasdeal.com/.

2.3 If registration is processed without using the DanDong Digital Trade Port B2B Trading Platform's functionality, the registration and subsequent authorization procedures shall be governed by the user-specific documentation of the relevant Service.

2.4 The User shall maintain the confidentiality of registration and login credentials (including phone numbers, one-time message codes, usernames, passwords, email addresses, etc.) and must not disclose such information to third parties. If these credentials are lost, the Service may become inaccessible.

2.5 In any case, the identification of an individual as a User of the relevant Service shall be based on the same data provided during registration. All actions taken by an individual who has authenticated using information (in whole or in part) used during the User's registration shall be deemed as actions of such User.

3. Providing functionality

3.1 The functionality of each Service is defined separately, including in the interfaces and user documentation of each Service. Adding, modifying, or reducing functionality may be done either by updating the Service's user documentation or without making such changes.

3.2 The Service may include the option to select and/or modify specific features. When a user chooses or modifies these features, the Service remains fully available and is governed by the same user agreement terms.

3.3 The Service may be partially or fully unavailable until the User registers and/or authorizes in the relevant Service.

3.4 The Service may be partially or fully unavailable depending on the use of individual Service features, the User's location, prior breaches of the Agreement, or other factors. Additionally, the Service may be partially or fully restricted, including without explanation or prior notice, if the User or third parties violate the Agreement.

3.5 Information on the Service, including reviews, user-provided data, and user details, may be removed by DanDong Digital Trade Port B2B at any time without prior notice. This includes cases where DanDong Digital Trade Port B2B and/or third parties violate applicable laws, regulations of the region where users access the Service, other applicable laws (hereinafter referred to as "the Laws"), and/or the Agreement. In the specified cases, DanDong Digital Trade Port B2B may implement alternative response measures beyond deletion, including information access restrictions and other consequences outlined in the Service's user documentation.

3.6 Registration, subsequent authorization, and use of the Service by Users are permitted only within the scope of the User's legal capacity as defined by applicable legislation. If the User has not reached the age of legal capacity or is deemed incapable due to other circumstances, such actions shall be performed with the consent of the User's legal representatives. Registration and subsequent authorization may be partially or fully restricted until the information provided by the User is verified, including the User's details.

3.7 If the Service's functionality includes notifying Users about events, changes, availability status, or outages—including restrictions due to technical maintenance and updates to new available features—the notification process constitutes an integral part of the Service's functionality.

3.8 The provision of Service functionality is permitted only within the scope defined by the Agreement and the Service's user documents, and in accordance with those documents.

3.9 For the Service to function properly, the User's device must meet the device requirements specified in the Service's user documentation, Service interface, and/or the platform providing access to the Service.

4. Policy on Permissible Usage and Content

4.1 When using the Service, the User shall use the features in good faith and in accordance with their intended purposes as defined by the Agreement, user documentation, and Service interfaces. The User is prohibited from:

4.1.1 to circumvent access restrictions and functional limitations imposed by DanDong digital trade port b2b on the Service;

4.1.2 to perform actions that cause or may cause undue or disproportionate strain on the Service or otherwise disrupt its normal operation;

4.1.3 using third-party software or other technical means that adversely affect the operation of the Service;

4.1.4 bypass, disable, or otherwise interrupt the operation of the Service's protective measures or functions that prevent or restrict the use of its functional capabilities or the copying of its code;

4.1.5 to study the technology, decompile, disassemble, decrypt, or otherwise attempt to obtain the Service's source code;

4.1.6 to copy, modify, reproduce, distribute, or create derivative works based on the Service Code without the written permission of DanDong digital trade port b2b;

4.1.7 Without written permission from DanDong Digital Trade Port B2B, using any computer programs, automated algorithms, or other methods to collect, transmit, copy, block, modify, or destroy (including scripts, crawlers, and other bots) any information published on the Service, including information contained in User Reviews on the Service;

4.1.8 send mass messages to other Service Users or third parties if they have not consented to such communications;

4.1.9 To use the Service in violation of third-party rights, or to exploit identified vulnerabilities in the Service's operation for unauthorized purposes against DanDong Digital Trade Port B2B and/or third parties, or for any other actions contrary to the Agreement, the Service's user documents, applicable laws, or the normal use of the Service.

4.1.10 reproducing, distributing, or modifying any elements of the Service that are protected by copyright or exclusive rights of DanDong digital trade port b2b or third parties without the written permission of the relevant rights holders;

4.1.11 to impersonate others, including DanDong digital trade port b2b employees, without legal justification, disseminate false information, or otherwise mislead other users and/or third parties regarding the functionality of any Service, the operations of DanDong digital trade port b2b, or third-party entities.

4.1.12 use the Service in ways contrary to the Law, including for unfair competition purposes;

4.1.13 otherwise facilitate third parties in violating the Agreement and/or the Service's user documents.

4.2 The User shall not use the Service's features to collect, create, publish, transmit, distribute, or store materials or other information, including comments, reviews, or other content intended for publication, that:

4.2.1 include viruses, malicious files, or other computer codes, files, or programs designed to disrupt, destroy, or impair the functionality of the Service, information technologies, and/or technical tools, or to enable unauthorized access to them;

4.2.2 contain serial numbers for commercial software products and their generation tools, along with login credentials and other unauthorized access methods to third-party resources, as well as links to the aforementioned information.

4.2.3 restrict or block another person from using the Service and its features;

4.2.4 are defamatory (discrediting, tarnishing honor and dignity or business reputation);

4.2.5 are offensive, vulgar, or indecent;

4.2.6 contain extremist materials that incite national, racial, or religious hatred or hostility, hatred or hostility based on social group affiliation, or discrimination on any grounds, or that promote such phenomena;

4.2.7 contain personal data of the User and/or third parties, thereby violating the privacy of third parties;

4.2.8 demonstrate or promote violence or cruelty toward animals;

4.2.9 refers to any other restricted-access information or information prohibited from dissemination under the Law;

4.2.10 otherwise violate the rights of other Users and/or third parties.

4.3 The User shall be solely responsible for the accuracy, completeness, and timeliness of all information posted on the Service, including reviews. This includes ensuring compliance with applicable laws, preventing infringement of third-party rights, and avoiding disclosure of confidential information such as the User's personal data or that of other individuals. The user shall compensate any third parties entitled to such compensation for losses arising from the dissemination of information in violation of these terms.

4.4 The User guarantees that they possess all necessary rights and/or have obtained all required permissions from rights holders regarding the information published by the User. In the event of third-party claims related to the User's posting of information on the Service, the User shall independently and at their own expense resolve such claims.

5. User Data and Interaction

5.1 To provide the Service, its individual functional capabilities, DanDong Digital Trade Port B2B may process User data provided by the User, obtained from third parties, or generated during the use of the Service or its individual functional capabilities. The specific scope of User data is determined based on the Service's interfaces and user documentation.

5.2 Users may submit requests, inquiries, or other communications to DanDong Digital Trade Port B2B in a unilateral manner, using the contact information specified in the Service's user documents or the functional features provided by the Service for this purpose.

5.3 The User acknowledges and agrees that the User's data and information contained in comments, reviews, and other messages published on the Service shall be made available to the public solely for the purpose of displaying reviews and allowing users to leave feedback. By doing so, the User voluntarily makes such information accessible to the general public. This information is not intended for collection or redistribution by third parties, unless explicitly permitted by the Service's user documents.

5.4 DanDong Digital Trade Port B2B may interact with the User unilaterally in cases specified in the Agreement, the Service's user documents, or as required by applicable legislation.

5.5 The two-way interaction between DanDong Digital Trade Port B2B and the User shall occur only in cases expressly stipulated in the Agreement, the User's Service documents, or as required by law.

6. Responsibility

6.1 DanDong Digital Trade Port B2B makes no warranties regarding the accurate and uninterrupted operation of the Service or any individual features thereof, nor shall it be held liable for the Service's compliance with the User's objectives.

6.2 If the Service contains links to third-party websites on the "Internet", DanDong Digital Trade Port B2B shall not be liable for any materials, information posted on such websites, nor for their availability or the consequences of their use by the User.

6.3 DanDong Digital Trade Port B2B shall not be liable for any direct or indirect consequences arising from the use or inability to use the Service, or any damages and lost benefits suffered by Users and/or third parties as a result of using, failing to use, or being unable to use the Service or its individual components or functions, including those caused by potential errors or malfunctions in the Service, except in cases where as provided for by the Law

6.4 DanDong Digital Trade Port B2B shall not be liable for any direct or indirect consequences, or for any damages and lost profits caused to the User and/or third parties as a result of unauthorized access by any third parties to the User's data due to the User's failure to fulfill the obligation to maintain the confidentiality of said data.

7. Other provisions

7.1 If, for any reason, one or more provisions of this Agreement are deemed invalid or lack legal force, this shall not affect the validity or applicability of the remaining provisions of the Agreement.

7.2 DanDong Digital Trade Port B2B's inaction in response to a User's or other users 'breach of the Agreement's terms shall not preclude DanDong Digital Trade Port B2B from taking appropriate measures to protect its interests in the future, nor shall it constitute a waiver of DanDong Digital Trade Port B2B's rights should similar violations occur subsequently.
